Education CONSTITUTION AND BYLAWS
SECTION CONSTITUTION ARTICLE I. NAMES, LOCATION AND OBJECT1. The name of this organization shall be the Northern California section of the American Congress on Surveying and Mapping. The headquarters shall be located at the address of the current Chairperson. Locations of meetings shall be selected by the section Executive Board. 2. The Northern California section of the American Congress on Surveying and Mapping is a nonprofit organization whose objectives shall be: a. To advance the science of surveying and mapping in their several branches, in furtherance of the public welfare and in the interests of both those who use maps and surveys and those who make them. b. To contribute to public education in the use of surveying and mapping products and services. c. To encourage the development, and maintenance of college curriculums that effectively teach all components of surveying and mapping science, art and technology. ARTICLE II. MEMBERSHIP1. Any person who is in good standing as a member of the American Congress on Surveying and Mapping and a current dues paying member of the section is eligible for membership. Membership classification in the Section shall be as held individually in ACSM. 2. The Section may elect to honorary membership of the Section any person who meets the criteria which is listed in the following paragraph. Such election shall be by formally solicited nominations from the membership and a subsequent two-thirds vote of the section's Executive Board. Not more than two honorary members shall be elected in anyone year. An annual call for nominations shall be issued to the membership, not later than May 31, through printing in the section's newsletter or by other forms of direct mailing. Election by the Executive Board of any nominee shall be no later than one month before the annual section meeting. Criteria to be used in selection of an honorary membership shall be that t-he nominee has - 1) Worked at least 25 years in the profession. 2) Been a member, in good standing, of the national body of ACSM. 3) contributed to the profession by teaching, and/or speaking, and/or publishing, and/or serving in an official position in the section or in the national organizations. 4) Help promote the profession by participation in conferences, seminars, etc. 5) Been ready and willing to assume any responsibility for the good of the profession. 6) Stood for high principles and ethics. 7) Been a force in furthering the ideas of the profession. 8) Achieved recognition and respect among his or her peers. 9) Set a positive example and been a credit to the profession. 10) Been a surveyor or mapper whose name readily comes to mind when considering all of the above. 3. All Honorary and Life members designated by the Executive Board of the Northern California section of ACSM shall be members of the Northern California section of ACSM with no dues. ARTICLE III. SEPARATIONS1. A member may be expelled from the section for willful disregard of the section's principles and purposes, or for conduct detrimental to the section's welfare. Expulsion shall require two-thirds vote of the entire section Executive Board. Thirty days notice shall be given to the offending member in order-that he or she may be present and heard at a hearing on such action. ARTICLE IV. DUES AND ASSESSMENTS1. The annual dues of an active member of the section shall be set by the Board and is payable to the Treasurer. This sum is in addition to the fees required by the American Congress on surveying and Mapping'. The dues may be increased by a majority vote of the Executive Board. However, no increase shall exceed a maximum of five dollars ($5.00) unless ratified by the membership by a two-thirds vote of those voting. 2. Honorary and Life members shall not be required to pay section dues. 3. Student members shall pay annual dues equal to twenty percent (20%) of an active member's dues, rounded to the nearest dollar. 4. Annual Section dues shall be due and payable on January 1. A bill shall be mailed to each Section member by December 1 of the previous year, stating the amount of dues payable, together with a letter ballot for the election of officers and directors of the Section. The deadline for effective ballots to be received by the Executive Board is December 31. The results of the election will be available for presentation at the annual meeting. Members 90 days in arrears shall lose all privileges of section membership until such arrears are met and those more that two years in arrears shall be dropped from the Section by the Executive Board. 5. Assessments to be collected and retained for use by this Section shall be voted upon by letter ballot and shall be considered only after recommendation by the section Executive Board. The details of such assessments shall be determined at the time the matter is presented for consideration and shall be set forth in the letter ballot. A two-thirds affirmative vote with at least fifty percent of the members voting shall be necessary to authorize levying of assessments. ARTICLE V. OFFICERS AND DIRECTORS1. The officers of the Section shall consist of a Chairman, a vice Chairman, a Secretary, a Treasurer, and a Reporter. 2. The section Executive Board shall consist of the elected officers of the Section, the immediate past Chairman, and six elected Directors. 3. The duties and method of election of the officers and the section executive Board shall be in accordance with the Section Bylaws. ARTICLE VI. MEETINGS1. The section shall hold a minimum of two Board meetings and one annual general membership meeting per year. The kind, time and place of meetings shall be as provided in the section Bylaws.
2. A Quorum of Board members necessary for the transaction of business shall constitute 6. ARTICLE VII. COMMITTEES1. The section shall have the following standing committees: a.Program b.Membership c. Nominating d. Education 2. Such additional committees as may be deemed advisable by the section may be appointed by the Chairman of the section. ARTICLE VIII. REPLACEMENT OF OFFICERS AND DIRECTORS1. Any officer or director may be removed from office for neglect of duty, inefficiency, or malfeasance. A two- thirds vote of the entire section Executive Board is necessary for such removal. Thirty days notice shall be given in order that he or she may be present and heard at a full hearing on such proposed action. ARTICLE IX. AMENDMENTS1. Amendments or additions to the constitution must be approved by a majority vote of the Executive Board and ratified by a letter ballot of the membership. Approval by a two-thirds vote of those voting shall be required. 2. The section Constitution, Amendments there to, and the Bylaws must not conflict with the ACSM constitution and Bylaws. ARTICLE X. BYLAWS1. Such additional Bylaws as are essential to the conduct of the affairs of the section may be enacted from time to time at the discretion of the Executive Board of the section. These Bylaws will be in force until the next Annual Meeting of the section, at which time they will be submitted to the Section membership. A sixty percent affirmative vote of the members present is required for adoption. These Bylaws will then be submitted to the Board of Direction of the ACSM for approval. ARTICLE XI. STUDENT CHAPTER1. A Student Chapter may be organized at any school having surveying or cartographic courses in its curriculum. Such Chapter must conform to the appropriate Bylaws of ACSM and have the approval by a two-thirds vote of the Executive Board of the Northern California section of ACSM. Prior to final adoption, the name of the school, faculty advisor, student membership, and rules of procedure must be submitted to the ACSM Board of Direct-ion: for approval. (END OF CONSTITUTION)
SECTION BYLAWSBYLAW I. FISCAL YEAR1. The section shall operate on the basis of a calendar year, January 1 to December 31. BYLAW II. ELECTION OF OFFICERS AND DIRECTORS1. The election of officers and directors of the section Executive Board shall be held at least three weeks prior to the section Annual Meeting.
2. The section Chairman, Vice Chairman, Secretary, Treasurer, and Reporter shall be elected by the section membership for a term of one year and shall serve not more than two consecutive elected terms in the same office.
3. The Section shall have seven Directors, six of whom shall be elected by the section membership for a term of two years, for staggered terms that permit the election of one-half of the number of Directors each year. The past Chairman of the Section shall be a Director for one or two years matching the term of the new Chairman. 4. In case of vacancies, officers and directors shall be appointed by the section Executive Board to fill the unexpired vacancies until the next annual election. 5. The terms of office of the section officers and directors shall begin with their investiture at the section Annual Meeting. BYLAWS III. DUTIES OF OFFICERS AND DIRECTORS
1. The Chairman shall preside at all meetings of the section and Executive Board. He shall appoint the Chairman of all committees and the members thereof, except otherwise provided, and shall be an ex officio member of all committees. 2. The vice Chairman shall assume all the duties and responsibilities of the. Chairman in the absence of the Chairman. 3. The Secretary shall keep an accurate record of all proceedings of the section, and shall notify the membership of all meetings and the officers and directors of all administrative and financial matters. 4. The Treasurer shall keep an accurate record of all finances and current membership of the section and shall have responsibilities for receipts, disbursement, and budget preparation as provided in the Section Constitution and Bylaws. The Treasurer shall regularly inform the officers, directors, and membership of the financial and membership status of the Section. 5. The Reporter shall report on the various meetings of the Section and shall solicit articles for the section newsletter and ACSM Publications. The Reporter shall forward copies of these reports, either separately or as the minutes of these meetings, to the President and Executive Secretary of ACSM. Additionally, the reporter shall act as publicity officer as directed by the Chairman or Executive Board. 6. The officers and directors shall be the Executive Board of the section and shall exercise control of administrative matters of the section. BYLAWS IV. GENERAL MEMBERSHIP MEETINGS1. The Annual Meeting of the Section shall be held at such location and date as selected by the Executive Board. Newly elected officers and directors shall be invested at this meeting. Also at this meeting, the Executive Board shall approve the Treasurer's financial report for the preceding year. 2. One or more regular meetings shall be held at times and places selected by the section Executive Board. 3. Special meetings shall be called by the Chairman, by the Executive Board, or upon the written request of ten members of the Section.
4. Not less than 25 members, including six members of the section Executive Board, shall constitute a quorum for the transaction of business at the general membership meeting. BYLAWS V. COMMITTEES1. The Program Committee shall plan and arrange programs which will further the objectives of the section. 2. The Membership Committee shall solicit and process all applications for section membership. They shall use criteria consistent with that used for membership in ACSM. 3. A Nominating Committee of three members shall be appointed subject to the approval of the Executive Board. It shall nominate at least one candidate for each office and directorship to be filled, plus a provision for write-in voting. No member of the Nominating Committee can be a candidate for any office. Normally the past Chairperson shall chair the Nominating Committee. All members of the Nominating Committee shall be current or past Executive Board members of the Northern California section of ACSM. 4. In preparing a list of candidates for office, the Nominating Committee shall consider the geographical representation of the current officers and directors with the objective of having representatives on the Board from all geographical areas served by the section. BYLAW VI. OBLIGATIONS1. The obligations of the section will be paid with monies derived principally from annual dues paid by the membership. Additional resources may accrue from interest to savings, net receipts from workshops and conferences, and miscellaneous resources. No continuing obligations may be entered into without a two-thirds affirmative vote of the Executive Board members present at a regularly called meeting. 2. Continuing obligations are those debts which have an effect on the section exceeding one year's duration, excepting any expenses for matters listed in section four of this Bylaw. 3. The normal and usual expenses of the -Section shall be funded before monies are made available for any other purpose except previously approved continuing obligations.
4. Normal and usual expenses are those incurred in mailing of ballots, dues notices, announcements of technical events and meetings, newsletters, and in the recording and preparation of these materials. 5. Payment of all normal and usual expenses shall be made by the Treasurer. All checks and vouchers must be signed by the Treasurer or Chairman. 6. Expenditure of funds beyond those necessary to provide for the obligations cited in section four may be approved by a two-thirds affirmative vote of the Executive Board members present at a regularly called meeting. These funds must be spent to the benefit of the Section or the benefit of the professions of Surveying and Mapping Science. 7. At the end of each calendar year, the Section accounts shall be audited by a designee of the Chairman. 8. A budget for the next calendar year shall be prepared by the Chairman, Chairman-elect, Treasurer, Treasurer-elect . This budget shall state what funds may be considered available to the Section for Bylaw VI-6. BYLAW VII. RULES OF PROCEDURE1. All meetings shall be conducted in accordance with Robert's Rules of Order. (END OF BYLAWS) |
